Client Terms of Engagement
These headings outline the terms that will apply to engagements with Cofacil Governance & Digital Solutions.

Identity of the consultancy
Cofacil is an independent legal-support, advocacy, governance and problem-solving consultancy.
Scope of the engagement
The scope of each engagement will be agreed in writing before work begins. The scope will set out what the consultancy has been asked to do and the basis on which it will be done.
Services included
The specific services included in the engagement will be described in the written terms of engagement for each matter.
Services excluded
Cofacil does not undertake reserved legal activities, conduct litigation or exercise rights of audience. Where a matter requires a regulated or authorised professional, clients will be advised to obtain appropriate specialist assistance.
Regulatory status
Cofacil is not a firm of solicitors and is not authorised by the Solicitors Regulation Authority. Some legal and commercial support services are not reserved legal activities. Clients should understand that services supplied by an unregulated consultancy do not carry all the regulatory protections that apply when engaging an SRA-regulated law firm.
Client responsibilities
Clients are responsible for providing accurate and complete information, responding to requests in a timely manner, and reviewing deliverables carefully.
Fees and payment
Fees will be agreed in writing before work begins. Payment terms will be set out in the written terms of engagement.
Confidentiality
Cofacil will treat client information as confidential and will not disclose it to third parties without consent, except where required by law or as necessary to perform the agreed services.
Data protection
Cofacil processes personal data in accordance with applicable data protection legislation. Further details are available on request.
Conflicts of interest
Cofacil will consider potential conflicts before accepting an engagement. Where a conflict is identified, the consultancy will explain it and may decline or limit the engagement.
Document retention
Documents will be retained for a reasonable period after the engagement concludes. Clients should keep their own copies of important documents.
Complaints
Clients who have concerns about the service should raise them promptly. Cofacil will respond in a reasonable timeframe and seek to resolve the matter fairly.
Professional referrals
Where a matter requires specialist or regulated advice, the consultancy will recommend referral to an appropriate professional. Cofacil does not receive referral fees unless disclosed.
Limitation of liability
Cofacil's liability will be limited to the extent permitted by law and as set out in the written terms of engagement.
Termination
Either party may terminate the engagement in accordance with the written terms of engagement.
Governing law
These terms are governed by the laws of England and Wales.
